SideSpeak Terms of Service

Effective Date: January 2, 2026

These Terms of Service (“Terms”) govern your access to and use of the SideSpeak website, applications, and related services (collectively, the “Service”) operated by SideSpeak (“SideSpeak,” “Company,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

SideSpeak provides web-based, desktop, and mobile applications designed to support real-time collaboration, communication, meeting productivity, availability management, and related features.

Certain features may integrate with third-party services, including Google Calendar and Google Tasks, when you choose to authorize such integrations.

We may modify, enhance, or discontinue features of the Service at any time.

You must be at least 18 years old to use the Service.

By using the Service, you represent that:

• You have the legal capacity to enter into a binding agreement. 
• You will comply with these Terms and all applicable laws.
   

To access certain features, you may be required to create an account or authenticate using third-party providers such as Google.

You agree to:

• Provide accurate information 
• Maintain the confidentiality of your login credentials 
• Notify us of any unauthorized use
   

You are responsible for activity under your account.

You agree not to:

• Use the Service for unlawful purposes 
• Attempt to gain unauthorized access to systems or data 
• Interfere with or disrupt the Service 
• Upload malicious software or harmful content 
• Reverse engineer or attempt to extract source code
   

We reserve the right to suspend or terminate accounts that violate these Terms.

If you choose to connect third-party services such as Google Calendar or Google Tasks:

• You authorize us to access limited data necessary to provide the selected functionality. 
• Access occurs only after your explicit consent via OAuth authorization. 
• You may revoke access at any time via your third-party account settings.
   

Our use of Google user data is governed by our Privacy Policy and complies with the Google API Services User Data Policy.

We are not responsible for third-party service availability or policies.

The Service, including its software, design, content, trademarks, and branding, is the exclusive property of SideSpeak and protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purposes.

You may not copy, distribute, modify, or create derivative works without written permission.

If you provide suggestions, ideas, or feedback regarding the Service:

• You grant SideSpeak a worldwide, royalty-free, perpetual license to use such feedback. 
• We are not obligated to compensate you.

By using the Service, you consent to the collection and use of information as described in that policy.

The Service is provided on an “AS IS” and “AS AVAILABLE” basis.

To the fullest extent permitted by law, SideSpeak disclaims all warranties, express or implied, including:

• Merchantability 
• Fitness for a particular purpose 
• Non-infringement
   

We do not guarantee uninterrupted or error-free operation.

To the maximum extent permitted by law:

SideSpeak shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or profits.

Our total liability shall not exceed the amount paid by you (if any) for use of the Service in the preceding 12 months.

We may suspend or terminate access:

• If you violate these Terms 
• If required by law 
• To protect the integrity of the Service
   

You may stop using the Service at any time.

Termination does not limit our rights or remedies.

We may update these Terms periodically.

If changes are material, we will update the Effective Date and may provide notice.

Continued use of the Service constitutes acceptance of revised Terms.

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.

Any disputes shall be resolved in state or federal courts located in New York.
